Position Overview

We are currently seeking a junior associate to join the dynamic and busy capital markets practice in New York.

Skills & Experience

An ideal candidate will:

• be a second to third year associate with experience:
  • representing corporate clients and underwriters in a broad range of capital markets transactions, including SEC-registered debt and equity offerings and shelf registrations, and private offerings under Rule 144A, Regulation D, Regulation S and other exemptions (some foreign private issuer and/or MJDS experience is preferred but not strictly necessary);
  • advising corporate clients on SEC reporting requirements, including annual, quarterly and other periodic reports and proxy statements (ideally also Section 13(d) and Section 16 reporting and registration statements on Form S-8 but not strictly necessary); and
  • providing corporate clients with general corporate and securities law advice, including stock exchange and corporate governance matters;
• have excellent interpersonal and drafting skills and a willingness to collaborate;
• have a superior client service orientation and a strong work ethic;
• have the ability to work well both independently and in a team-oriented environment;
• have good judgment; and
• be a member in good standing of the New York bar.

Compensation

The Firm pays market salaries to our attorneys. As such, below is the current associate base salary scale:

• 1st year: $225,000
• 2nd year: $235,000
• 3rd year: $260,000
• 4th year: $310,000
• 5th year: $365,000
• 6th year: $390,000
• 7th year: $420,000
• 8th year+: $435,000
